Conditions of Sale

1. Prices quoted are based on information and requirements as submitted at the time of quotation. Subsequent altering of requirements may necessitate price revision. All prices quoted are for acceptance within sixty days. |

2. Orders accepted are subject to price revision on any unfilled portion, provided the Buyer is noted of such revision. In event such price revision is unacceptable to the Buyer, the Buyer may cancel the unfilled portion of the order within five (5) days after notice of price revision; provided, however, the Buyer becomes responsible for that part of the order in process or completed and not shipped at the time of cancellation. |

3. Delivery may be subject to delays beyond the control of Seller, such as fires, floods, accidents, etc. |

4. (a) Buyer will be deemed to have inspected and accepted any shipment under this contract if, within five (5) days after Buyer's receipt of goods, Buyer has not notified Seller, in writing, that such goods are rejected and the grounds therefore. (b) Seller will not accept the return of any goods or materials unless prior written consent has been obtained. |

5. Seller's products are not guaranteed for any specific length of time or measure of service. Seller warrants that any product of its manufacture, which upon examination is found by a representative of Seller to be defective in either workmanship or material whereby it is not suitable under proper usage and service for the purpose for which designed, will be, at Seller's option, repaired or replaced free of charge including transportation charges but not cost of installation, provided that the Seller receives written claim specifying the defect within on year after Seller ships the product, and the defective product is returned to the Seller. ALL WARRANTIES EXPRESSED OR IMPLIED, INCLUDING ANY WARRANTY OF MERCHANTABILITY, ARE HEREBY DISCLAIMED. The foregoing expresses all of the Seller's obligations and liabilities with respect to the quality of items furnished by it,and it shall under no circumstances be liable for consequential damages. |

6. Should the Buyer supply the design for the goods or products to be furnished by the Seller under this agreement, or should the goods or products be labeled or marked with a trademark or trade name requested by Buyer, then Buyer agrees to defend Seller in any action, either civil or criminal, brought against the Seller by any third party, for infringement or misuse of any such patents or trademarks, and Buyer further agrees to hold Seller harmless from any damge or loss resulting therefrom. Buyer agrees to indemnify Seller for any expense incurred by Seller, including, but not limited to, legal fees on account of any claims asserted because of defect in design supplied by Buyer. |

7. Seller reserves the right to correct typographical errors. |
